Terms of service

1. Acceptance of terms

By creating an account or using the platform, you confirm that you are authorised to bind your organisation to these terms and that you have read and accepted our Privacy policy.

2. The service

ComplAI is a SaaS platform that helps Indian organisations manage corporate compliance obligations under the Companies Act 2013, including statutory registers, compliance workflows, and MCA filing preparation. We are a data processor; you remain the data fiduciary for personal data of your directors and officers entered into the platform.

3. Your responsibilities

• Provide accurate, current, and complete information.
• Keep your account credentials confidential.
• Ensure you have lawful basis to upload personal data of third parties (directors, officers).
• Comply with all applicable Indian laws including the Companies Act 2013 and DPDPA 2023.
• Notify us immediately of any unauthorised access to your account.

4. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract source code.
• Use the platform to store data unrelated to corporate compliance.
• Resell, sublicense, or share access with parties outside your organisation.
• Probe, scan, or test the vulnerability of any system without written consent.
• Upload malicious code or content that violates third-party rights.

5. Subscription and fees

Subscription fees, billing cycles, and seat limits are set out in your order form. Fees are payable in Indian Rupees and are exclusive of GST. We may suspend access for non-payment after a 15-day grace period.

6. Data ownership and processing

You own all data you upload to the platform. We process your data solely to provide the service, as described in our Privacy policy. On termination, you may export your data within 30 days, after which we will delete it (subject to legal retention obligations).

7. Service availability

We target 99.5% monthly uptime. Scheduled maintenance windows will be communicated at least 48 hours in advance. We are not liable for downtime caused by force majeure, third-party providers (AWS, Probe42), or your network.

8. Intellectual property

The ComplAI platform, software, and documentation are our intellectual property. You receive a non-exclusive, non-transferable licence to use the platform for the duration of your subscription.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from these terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

You may terminate at any time from account settings. We may terminate for material breach with 30 days written notice, or immediately for security violations or non-payment beyond the grace period.

11. Governing law

These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts at Delhi.

12. Changes to terms

We may revise these terms with at least 15 days notice to registered users. Continued use after the effective date constitutes acceptance.
